  注重統籌謀劃,形成“1+1+N”頂層設計

  一是(shi)(shi)精心編制(zhi)(zhi)“1個(ge)方案”。對全(quan)(quan)級次(ci)子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)治理(li)(li)現狀進(jin)行(xing)全(quan)(quan)面分析,摸(mo)清(qing)子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)董(dong)事(shi)(shi)(shi)會(hui)建(jian)設和運(yun)行(xing)情況,總結查找董(dong)事(shi)(shi)(shi)會(hui)設置不合(he)理(li)(li)、運(yun)行(xing)制(zhi)(zhi)度不健(jian)全(quan)(quan)等(deng)7類問題,形成(cheng)(cheng)改革提升的“靶向(xiang)目標”。在此基礎上,堅持(chi)董(dong)事(shi)(shi)(shi)會(hui)規范建(jian)設與運(yun)行(xing)管理(li)(li)協同推進(jin)、全(quan)(quan)級次(ci)子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)一體部署,編制(zhi)(zhi)《子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)董(dong)事(shi)(shi)(shi)會(hui)規范建(jian)設與運(yun)行(xing)管理(li)(li)方案》并逐級細化落實(shi)(shi),做到董(dong)事(shi)(shi)(shi)會(hui)建(jian)設、運(yun)行(xing)、評(ping)價各環節全(quan)(quan)貫(guan)穿(chuan),各級子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)全(quan)(quan)覆蓋。二是(shi)(shi)有力夯實(shi)(shi)“1個(ge)基礎”。堅持(chi)發(fa)揮公司(si)(si)章(zhang)程在公司(si)(si)治理(li)(li)中(zhong)的基礎性作用(yong),修(xiu)訂《子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)章(zhang)程管理(li)(li)辦法(fa)》和《子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)公司(si)(si)章(zhang)程指引》,完善章(zhang)程內容,規范制(zhi)(zhi)定流程,實(shi)(shi)施(shi)三(san)級審核把關,指導子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)將(jiang)國企(qi)(qi)改革三(san)年行(xing)動重點要求全(quan)(quan)面納入(ru)公司(si)(si)章(zhang)程。目前(qian),135家子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)已完成(cheng)(cheng)公司(si)(si)章(zhang)程修(xiu)訂工(gong)(gong)作。三(san)是(shi)(shi)配套完善“N個(ge)制(zhi)(zhi)度”。指導子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)參照集(ji)團有關制(zhi)(zhi)度,結合(he)自身實(shi)(shi)際(ji)制(zhi)(zhi)定完善經理(li)(li)層(ceng)成(cheng)(cheng)員選(xuan)聘、業(ye)(ye)(ye)績考核、薪酬(chou)管理(li)(li),以及工(gong)(gong)資總額管理(li)(li)、擔保管理(li)(li)等(deng)多項制(zhi)(zhi)度,切實(shi)(shi)落實(shi)(shi)董(dong)事(shi)(shi)(shi)會(hui)中(zhong)長(chang)期發(fa)展決策權(quan)、經理(li)(li)層(ceng)成(cheng)(cheng)員選(xuan)聘權(quan)等(deng)6項重要職權(quan),切實(shi)(shi)增強子(zi)(zi)(zi)企(qi)(qi)業(ye)(ye)(ye)董(dong)事(shi)(shi)(shi)會(hui)的權(quan)威(wei)性。
