注重統籌謀劃 形成“1+1+N”頂層設計 一是(shi)精心(xin)編制(zhi)(zhi)“1個(ge)方案”。對全(quan)級次(ci)子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)治理(li)(li)現狀進行全(quan)面分析,摸(mo)清子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)建設(she)和(he)運(yun)行情況,總結查找董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)設(she)置不合(he)理(li)(li)、運(yun)行制(zhi)(zhi)度不健全(quan)等7類問題(ti),形成(cheng)改革提升的“靶向目(mu)標”。在此(ci)基(ji)礎上(shang),堅持董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)規范建設(she)與運(yun)行管(guan)理(li)(li)協(xie)同推進、全(quan)級次(ci)子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)一體部署,編制(zhi)(zhi)《子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)規范建設(she)與運(yun)行管(guan)理(li)(li)方案》并逐級細化落實(shi),做到董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)建設(she)、運(yun)行、評價各(ge)環節全(quan)貫穿,各(ge)級子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)全(quan)覆蓋。二是(shi)有(you)力夯實(shi)“1個(ge)基(ji)礎”。堅持發揮公(gong)司(si)章(zhang)(zhang)(zhang)程在公(gong)司(si)治理(li)(li)中的基(ji)礎性作用,修訂(ding)《子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)章(zhang)(zhang)(zhang)程管(guan)理(li)(li)辦法》和(he)《子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)公(gong)司(si)章(zhang)(zhang)(zhang)程指引》,完(wan)善章(zhang)(zhang)(zhang)程內容,規范制(zhi)(zhi)定(ding)流程,實(shi)施(shi)三級審核(he)把關,指導子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)將國企(qi)(qi)(qi)改革三年行動重點(dian)要求全(quan)面納入公(gong)司(si)章(zhang)(zhang)(zhang)程。目(mu)前,135家子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)已完(wan)成(cheng)公(gong)司(si)章(zhang)(zhang)(zhang)程修訂(ding)工作。三是(shi)配套(tao)完(wan)善“N個(ge)制(zhi)(zhi)度”。指導子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)參照集(ji)團有(you)關制(zhi)(zhi)度,結合(he)自身實(shi)際(ji)制(zhi)(zhi)定(ding)完(wan)善經(jing)理(li)(li)層成(cheng)員選聘、業(ye)(ye)(ye)(ye)(ye)績考(kao)核(he)、薪酬管(guan)理(li)(li),以及工資總額管(guan)理(li)(li)、擔保管(guan)理(li)(li)等多(duo)項制(zhi)(zhi)度,切實(shi)落實(shi)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)中長(chang)期發展決策權(quan)、經(jing)理(li)(li)層成(cheng)員選聘權(quan)等6項重要職權(quan),切實(shi)增(zeng)強子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)的權(quan)威性。 一是完(wan)善外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事履職(zhi)管理機(ji)(ji)制(zhi)(zhi)(zhi)。樹立(li)外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事勤勉盡責“高標(biao)準”,配(pei)齊(qi)二(er)級(ji)子(zi)企(qi)業(ye)(ye)(ye)(ye)外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事召集(ji)人,明確出(chu)席會(hui)(hui)(hui)(hui)(hui)議、學習培(pei)訓、履職(zhi)時(shi)間等(deng)要(yao)(yao)求,落(luo)實(shi)外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事年度(du)履職(zhi)報(bao)(bao)告(gao)、重(zhong)大(da)事項報(bao)(bao)告(gao)、經(jing)營綜合分析報(bao)(bao)告(gao)等(deng)機(ji)(ji)制(zhi)(zhi)(zhi),助力董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)規范有效(xiao)運(yun)(yun)行。二(er)是建立(li)董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行指(zhi)(zhi)導(dao)(dao)機(ji)(ji)制(zhi)(zhi)(zhi)。加強集(ji)團對子(zi)企(qi)業(ye)(ye)(ye)(ye)董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)議事決策(ce)的(de)(de)跟蹤指(zhi)(zhi)導(dao)(dao),實(shi)施董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)決策(ce)會(hui)(hui)(hui)(hui)(hui)前溝通、會(hui)(hui)(hui)(hui)(hui)中跟蹤、會(hui)(hui)(hui)(hui)(hui)后備案機(ji)(ji)制(zhi)(zhi)(zhi),實(shi)行董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)重(zhong)大(da)風險報(bao)(bao)告(gao)制(zhi)(zhi)(zhi)度(du),建設董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行信(xin)息系統,實(shi)現董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)及(ji)專門(men)委員會(hui)(hui)(hui)(hui)(hui)的(de)(de)人員機(ji)(ji)構、制(zhi)(zhi)(zhi)度(du)建設、會(hui)(hui)(hui)(hui)(hui)議信(xin)息、決策(ce)及(ji)執行情(qing)況等(deng)全過程信(xin)息數字化(hua)(hua)管理。三是優化(hua)(hua)外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事和(he)(he)董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)評(ping)價機(ji)(ji)制(zhi)(zhi)(zhi)。從外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事的(de)(de)行為(wei)操守和(he)(he)履職(zhi)貢獻,以及(ji)董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行的(de)(de)規范性(xing)和(he)(he)有效(xiao)性(xing)等(deng)維(wei)度(du),分別(bie)明確14條(tiao)、29條(tiao)評(ping)價內容和(he)(he)要(yao)(yao)點,建立(li)外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事業(ye)(ye)(ye)(ye)務(wu)評(ping)價和(he)(he)董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行評(ping)價機(ji)(ji)制(zhi)(zhi)(zhi),并(bing)加快逐級(ji)推(tui)進(jin)落(luo)實(shi)。評(ping)價結(jie)果分別(bie)納入外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事個人和(he)(he)領(ling)導(dao)(dao)班子(zi)年度(du)績(ji)效(xiao)考核體系,作為(wei)董(dong)(dong)(dong)(dong)事津(jin)貼發放、續聘(pin)解聘(pin)、獎(jiang)懲(cheng)任用的(de)(de)重(zhong)要(yao)(yao)依(yi)據,形成考核激勵(li)“硬手段”。四是強化(hua)(hua)董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)運(yun)(yun)行支(zhi)撐(cheng)機(ji)(ji)制(zhi)(zhi)(zhi)。明確子(zi)企(qi)業(ye)(ye)(ye)(ye)董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)業(ye)(ye)(ye)(ye)務(wu)管理部(bu)(bu)(bu)(bu)門(men)、外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事日常(chang)服務(wu)部(bu)(bu)(bu)(bu)門(men)和(he)(he)任職(zhi)企(qi)業(ye)(ye)(ye)(ye)的(de)(de)職(zhi)責分工,完(wan)善工作機(ji)(ji)制(zhi)(zhi)(zhi),全面加強政策(ce)指(zhi)(zhi)導(dao)(dao)、咨(zi)詢(xun)服務(wu)、工作信(xin)息、辦公資源等(deng)方面的(de)(de)支(zhi)撐(cheng)服務(wu)。系統開(kai)展外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)(dong)事、董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)秘書(shu)及(ji)相關工作人員業(ye)(ye)(ye)(ye)務(wu)培(pei)訓,2021年共完(wan)成培(pei)訓1510人次,大(da)力培(pei)育董(dong)(dong)(dong)(dong)事會(hui)(hui)(hui)(hui)(hui)規范運(yun)(yun)行的(de)(de)“軟實(shi)力”。
